The Board is aware that concerns have been raised regarding the timing of the complete information package for the upcoming Annual General Meeting.
The IPSC BC Constitution and Bylaws require notice of the AGM to be communicated to members at least 30 days before the meeting. They also state that the notice shall include the proposed agenda, supporting information, proposed resolutions, and other pertinent information.
Although notice of the AGM was provided, the complete supporting package was not distributed with that initial notice. The Board acknowledges this concern and has reviewed the organization’s available AGM records and practices from the preceding five years. That review confirmed that, during that period, the complete AGM package was not distributed 30 days in advance. In 2025, for example, the AGM package was distributed approximately six days before the meeting and did not include the financial statements.
This historical practice does not change the wording of the Constitution and Bylaws. However, the Constitution and Bylaws do not state that a delay in distributing the complete package automatically invalidates the AGM or the business conducted at it.
After reviewing the circumstances, the Board has determined that proceeding with the AGM is in the best interests of the membership. Among other necessary business, proceeding will allow the newly elected Zone Directors to formally begin their duties and will avoid further disruption to the governance of IPSC BC.
The complete package has now been made available so members can review the information before the meeting. Members will also have the opportunity to raise questions and participate in the consideration of the business presented at the AGM.
The Board recognizes the importance of timely and complete communication. We will review the AGM preparation process following this meeting to ensure that future notices and supporting packages are distributed in accordance with the timelines established in the Constitution and Bylaws.
